Our consulting company specializes in the establishment and termination of all forms of legal entities recognized by legislation in the Republic of Serbia, as well as in the countries of the Western Balkans.

In the year 2005, the Republic of Serbia began implementing a reform in the field of registration of legal entities, in order to facilitate the foundation and termination of companies, reduce administrative obstacles for doing business, prepare the environment for greater foreign investment and prepare conditions for the creation of a greater number of new jobs. The Serbian Business Registers Agency took over the implementation of the reform in the field of registration of business entities and for the first time established a system of registration of financial leasing and liens on movable property and rights.

Administrative barriers to citizens were removed by creating one institution as the holder of registration and management of a single central database. This established the principle of rationalization of the administrative functions of the state (“all registers in one place”).

For the first time, the principle of “administrative silence of five days” was introduced into the legal system of the Republic of Serbia, which established the principle of efficiency of public administration.

With the establishment of the Agency, Serbian legislation was harmonized with the European standards. The first European directive mandates that each member state establishes a central register, a business register or a register of business entities. EU recommendations require that the registration of business entities become an administrative function, and not a way of legal control over the private sector, especially not before the start of business. Control of business operations of business entities is left to other instruments (regular inspection supervision, ensuring compliance with contracts, efficient bankruptcy proceedings, through efficient work of judicial authorities, etc.).
